What is Cumis Counsel?

WHAT IS CUMIS COUNSEL?

What To do when you are sued as a real estate broker in California and your errors and omissions insurance carrier issues a "reservation of rights letter."

1. If you are named as a Defendant in a lawsuit and are covered by E&O insurance, you will probably want to "tender the defense" to the insurance carrier. This means you send them a copy of the complaint with a letter asking them to "pick up your defense and defend you in the civil lawsuit."

2. The carrier may agree to defend you in whole as to every claim, or they may issue you a "reservation of rights letter." (ROR).

3. The ROR signals that there may be divergent and competing interests between you, your real estate company, and the carrier as they reserve their rights to come back after YOU as to matters not covered by the insurance policy. The insurance policy creates the duty to defend and indemnify, but only per the scope of the policy.

4. If you are issued a ROR, and a serious and actual conflict exists between you and the appointed law firm (the carrier gets to appoint the law firm and control the defense of the case) or the insurance carrier, you may want to hire independent counsel to help protect your legal rights in the case. You also have the right not to use your insurance defense carrier's firm, but this would come at your own expense.

4. Where there is an actual conflict, you can demand that the carrier pay for the counsel (called "Cumis counsel") and if the carrier agrees, a reasonable fee, customary to the defense industry, will be paid to your law firm.
